1) Term

This Agreement runs for 36 months from the Effective Date (“Term”).

2) Purpose

The purpose of this Agreement is to allow the Client to lock in DSNE’s listed creative package prices for the full Term, in exchange for the Client’s agreement to the terms below.

3) Scope of Services

DSNE will provide creative design services for digital signage visuals including (but not limited to) retail screens, forecourts, menu boards, reception displays, and outdoor LED content, as ordered by the Client during the Term. :contentReference[oaicite:1]{index=1}

4) Locked Prices

The following prices are locked for the entire Term of this Agreement:

4.1) Single Creative Packages

• Package 1: Rapid Refresh (Template Update) — £57 per creative
• Package 2: Bespoke Static Creative (Pro Design) — £172 per creative
• Package 3: Animated Creative (Motion Loop) — £402 per creative (10–15s loop)

4.2) Bundles

• Starter Bundle (Most Popular) — £344
• Motion Bundle — £689
• Monthly Content Plan (Retainer) — £574 per month

• Extra size/version (e.g., 1:1, 9:16, 16:9): +£29 each

5) Deliverables, Inclusions, and Turnaround

5.1) Package 1: Rapid Refresh (Template Update) — £57 per creative

• Turnaround: 1–2 working days

• Turnaround: 2–3 working days

5.3) Package 3: Animated Creative (Motion Loop) — £402 per creative

• 10–15 second MP4 loop (silent by default)

• Turnaround: 3–5 working days

5.4) Bundles

6) How Orders Work

1. Client supplies offer details (dates, pricing), logo, brand colours, images, and screen sizes.
2. DSNE supplies a proof for review.
3. Client requests revisions (within the included revision rounds).
4. DSNE supplies final, upload-ready files in the agreed formats.

7) Payment Terms

• Invoices are issued per order (single creatives/bundles) or monthly in advance for the Monthly Content Plan, unless otherwise agreed in writing.
• Payment due within 14 days of invoice date, unless otherwise agreed in writing.
• Late payments may pause delivery timelines until the account is brought up to date.

8) Price Lock Conditions

• Prices in Section 4 remain fixed for the full Term, unless the Client requests services outside the Scope or outside the listed packages/add-ons.
• If DSNE introduces new packages in the future, they are not automatically included in this price lock unless agreed in writing.

9) VAT

Where VAT is applicable, it will be charged at the prevailing rate and shown on the invoice.

10) Client Responsibilities

• Provide correct copy, prices, dates, brand assets, and image rights.
• Confirm screen sizes/resolutions and required formats before production begins.
• Provide feedback and approvals promptly to avoid timeline slippage.

11) Intellectual Property

• Upon full payment, the Client may use the final delivered creative files for their own business marketing on their screens and channels.
• Working files (editable source files) are not included unless agreed as an add-on in writing.
• Client-supplied logos/images remain the Client’s property (or their licensors).

12) Cancellations and Termination

• Either party may terminate for material breach if not remedied within 14 days of written notice.
• Work already completed or in progress remains payable.
• Monthly Content Plan cancellations require 30 days’ written notice.

13) Limitation of Liability

DSNE’s liability is limited to the fees paid by the Client for the specific order giving rise to the claim. DSNE is not liable for indirect or consequential losses, loss of profit, or loss of business.

14) Confidentiality

Both parties agree to keep each other’s confidential information private and only use it to perform this Agreement.

15) Governing Law

This Agreement is governed by the laws of England and Wales, and the parties submit to the jurisdiction of the courts of England and Wales.
